1. PARTIES, PURPOSE, AND ACCEPTANCE

This Master Vehicle Rental Agreement and Terms of Hire (the “Agreement”) is entered into
between Car Rental Drives Africa Ltd. (the “Company”) and the person or legal entity
identified in the Rental Agreement or booking confirmation (the “Hirer” or “Client”). The Hirer,
each Authorized Driver, and, where applicable, a corporate Hirer are collectively responsible for
compliance with the terms that apply to their respective obligations.
The Agreement governs the rental and use of the vehicle identified in the booking or handover
documents, together with any rooftop tent, camping equipment, recovery equipment,
accessories or other items supplied by the Company (collectively, the “Equipment”). The
booking confirmation, vehicle condition report, equipment inventory, insurance/excess
schedule and any written cross-border authorization issued for the rental form are part of the
contractual arrangement.
By signing, electronically accepting, taking possession of the vehicle, or permitting an
authorized driver to take possession of or drive the vehicle, the Hirer confirms that the
agreement has been made available, that its material terms have been understood, and that
the hirer agrees to comply with them.

2. DEFINITIONS AND INTERPRETATION

“Company” means Car Rental Drives Africa Ltd. and the relevant operating branch, partner, or
authorized representative identified in the booking or rental agreement.
“Hirer” or “Client” means the person or legal entity contracting with the Company for the
rental.
“Driver” means a person approved by the Company and recorded as an authorized driver.
“Additional Driver” means any further person expressly approved and recorded by the
Company as permitted to drive the Vehicle.
“Authorized Driver” means the hirer or another driver approved by the Company who
satisfies all applicable age, license, and experience requirements.
“Vehicle” means the motor vehicle identified in the Rental Agreement, including its
factory-fitted components and accessories.
“Equipment” means any additional item supplied with the vehicle, including camping
equipment, rooftop tents, refrigerators, recovery gear, GPS/satellite equipment, tools, chairs,
tables, cooking equipment and other listed accessories.
“Rental Period” means the period beginning at the agreed handover time and ending when
the company has accepted the return of the vehicle and equipment, subject to any approved
extension.
“Cross-Border Travel” means taking or operating the vehicle outside the country of pickup
or any other territory expressly authorized in writing by the company.
“Security Deposit” means the refundable amount or card authorization held as security for
the Hirer’s obligations.
“Insurance Excess” means the amount for which the Hirer remains financially responsible
following a covered insured event, subject to the applicable insurance policy and the terms of
this Agreement.
“Force Majeure” means an event beyond the reasonable control of the affected party,
including natural disasters, severe weather, floods, fire, war, civil unrest, epidemics, border
closures, government restrictions, or other events that materially prevent performance.
Headings are for convenience only. References to the singular include the plural where
appropriate, and references to a person include a company or other legal entity.

3. BOOKING, RENTAL PERIOD, AND VEHICLE

The vehicle, rental dates, location, rate, inclusions, exclusions, and any special conditions are
those stated in the booking confirmation and/or rental agreement. The Company may
substitute the Vehicle with an equivalent or upgraded vehicle where operational circumstances
require, subject to availability.

The Rental Period ends at the agreed return date and time. Any extension must be requested
and approved by the Company before the scheduled return time. An extension is not effective
merely because the Hirer continues to possess or use the Vehicle.

Early termination by the Hirer does not automatically create a right to a refund. Any refund for
unused rental days is subject to the applicable cancellation/early-termination terms and the
Company’s written approval, taking into account non-refundable third-party costs and
commitments.

The Company may terminate the rental where the Hirer materially breaches this Agreement,
uses the Vehicle unlawfully or unsafely, fails to make required payments, or otherwise places
the Vehicle, Equipment, passengers or third parties at unreasonable risk. Where lawful and
reasonably practicable, the Company will provide notice and an opportunity to remedy the
breach.

4. DRIVER ELIGIBILITY AND AUTHORIZED DRIVERS

Every Driver must hold a valid driving licence appropriate for the Vehicle and must meet the
minimum age, experience and documentation requirements communicated by the Company
for the particular rental. An International Driving Permit or other translation may be required
by applicable law.

Only Authorized Drivers may drive the Vehicle. The Hirer must not allow any person who is
intoxicated, unlicensed, medically unfit to drive, or otherwise prohibited by law to operate the
Vehicle.

The Hirer is responsible for ensuring that every Authorized Driver understands and follows this
Agreement. If a Driver’s licence becomes suspended, cancelled, restricted or otherwise invalid
during the Rental Period, the Company must be notified immediately and that person must
cease driving.

The Company may require copies of passports, identity documents, driving licences, visas,
permits and other information reasonably necessary to verify eligibility, comply with insurance
requirements, or meet legal and border-control obligations.

5. VEHICLE COLLECTION, DELIVERY AND INSPECTION

Vehicle handover may occur at a Company office, airport, hotel, lodge, agreed meeting point
or other approved location. Delivery, collection, one-way and after-hours charges may apply as
stated in the quotation or booking confirmation.

At handover, the Company and Hirer should record the Vehicle’s condition, existing damage,
fuel level, odometer reading, tyre condition and the Equipment supplied. The Vehicle Condition
Report and Equipment Inventory are incorporated into this Agreement.

The Hirer must inspect the Vehicle and Equipment before departure and promptly report any
discrepancy. Damage or missing items not recorded at handover may be presumed, subject to
applicable law and evidence, to have occurred during the Rental Period.

The Hirer acknowledges that 4×4 vehicles and safari equipment require practical
familiarization. The Company will provide reasonable handover guidance appropriate to the
Vehicle and supplied Equipment. The Hirer remains responsible for safe operation after
handover.

6. PAYMENT, CURRENCY AND FINANCIAL OBLIGATIONS

The Hirer shall pay the rental price and all agreed additional charges stated in the quotation,
booking confirmation or Rental Agreement. Unless otherwise agreed, payment may be made
in USD, EUR or GBP. Local-currency billing may apply in Southern African operations, including
NAD, BWP or ZAR, using the applicable exchange rate communicated by the Company.

Payments may be made by approved bank transfer, cash or online payment method.
Bank-transfer payments should normally be received at least two weeks before arrival unless
otherwise agreed. Online payment, card processing and gateway charges may apply; the
applicable surcharge will be disclosed before payment where practicable.

The Hirer remains responsible for charges arising from the rental, including additional rental
days, delivery/collection, one-way fees, cross-border permits, insurance or waiver upgrades,
fuel, tolls, traffic fines, parking penalties, cleaning, missing Equipment, damage, recovery and
other amounts properly payable under this Agreement.

Where a corporate or organizational Hirer signs the Agreement, the signatory confirms that
they have authority to bind that entity. The corporate Hirer remains responsible for the
conduct of its Drivers and for all amounts due.

7. SECURITY DEPOSIT AND POST-RENTAL CHARGES

A refundable Security Deposit is required before handover unless the Company expressly
agrees otherwise. The amount may vary by country, Vehicle class, route, risk profile and
selected insurance/excess option.

As a current operational guideline, East African rentals may require a standard refundable
deposit of approximately $500 USD or equivalent. Southern African rentals may require
approximately $1,500–$3,000 USD or local-currency equivalent, depending on Vehicle class
and applicable risk or excess tier. The exact amount applicable to the booking prevails.

The Security Deposit may be applied, in whole or in part, toward amounts properly due from
the Hirer, including damage, the applicable Insurance Excess, missing fuel, traffic fines, tolls,
cleaning beyond reasonable use, missing keys, missing or damaged Equipment, recovery
charges, border/customs costs and unpaid rental charges.

The Company will normally process the release or refund of the remaining Security Deposit
within 10–21 days after return, subject to completion of inspections, receipt of third-party
charges and confirmation that no outstanding claims or liabilities remain. Bank and card
processing times may affect the date funds become available.

Where a final loss or damage assessment is not immediately available, the Company may
retain a reasonable amount pending verification and provide an accounting once the relevant
costs are established.

8. FUEL, MILEAGE AND VEHICLE CARE

The Vehicle will normally be supplied with a recorded fuel level and should be returned with
the same level unless the booking expressly provides otherwise. If the Company refuels the
Vehicle after return, the Hirer shall pay the fuel cost together with any disclosed refuelling
service charge.

The Hirer must use the correct fuel type and purchase fuel from reputable stations. Wrong
fuel, contaminated fuel or fuel-system damage caused by the Hirer is not treated as ordinary
mechanical failure.

Where mileage limits apply, the applicable allowance and excess-kilometre charge will be
stated in the quotation or booking confirmation. Where no mileage limit is stated, the Hirer
must still use the Vehicle reasonably and in accordance with the agreed itinerary and
permitted operating areas.

The Hirer must carry out reasonable daily checks appropriate to the Vehicle, including engine
oil, coolant, tyre pressures and visible damage, and must promptly report warning lights,
unusual noises, overheating, loss of fluid or other safety concerns.
